Elon Musk said in a court late Wednesday that it would withdraw the $ 97.4 billion bid to check Openai if the company has thrown a long -term effort to change its corporate structure.
Mr Musk and a consortium of investors had offered Monday to buy the assets of the non -profit organization that controls Openai, escalating a year of dispute between Mr Musk and Openai Managing Director Sam Altman over its future Artificial intelligence. Mr Altman is in the middle of the change in OpenAi’s corporate structure by altering the company’s control of the company from the non -profit organization to Openai investors, including Microsoft.
Two days later, the Openai Board of Directors challenged the rationale of the offer and accused Mr Musk of hypocrisy. Within a few hours, Mr Musk’s legal team responded with the new court deposit saying that they would abandon the offer if the Openai Board of Directors agreed to maintain the mission of the non -profit organization and “get” for sale ” his assets ”.
The controversy between Mr Musk and Mr Altman is deeply personal. Mr Musk helped find Openai as a non -profit organization in 2015, along with Mr Altman and others. When Mr Musk abandoned the organization in 2018 after a battle for control, Mr Altman linked Openai to a speculative company so that he could increase the large sums of money needed to build AI technologies.
Non -profit control maintained control of the company. Last year, Mr Altman and his colleagues began working on a plan to shift the company’s control of the company from the non -profit organization to Openai investors. Mr Musk’s offer could complicate this plan.
In order to separate Openai from the non -profit council, Mr Altman and his colleagues must provide compensation. Openai can pay the non -profit fee, for example, or give it a minority to the company.
But the assets of the non -profit organization have not been given value. Mr Musk is trying to set one with his offer, which could mean that the Openai arm will have to spend more to gain independence from the non -profit.
Openai is unlikely to reduce its plan to be separated from the non -profit organization. Under the terms of the last round of investment, it must shift the company’s control away from the non -profit organization in less than two years. Otherwise, its funding will be turned into debt, according to documents examined by the New York Times.
Mr Musk also sued Openai to try to prevent his plans for restructuring.
Openai is currently working to complete a $ 40 billion rally agreement that will double its valuation from just four months ago about $ 300 billion.
